Limited Warranty Policy
This policy explains SEMRISE’s standard B2B product warranty, what it covers, what is excluded, the evidence needed for a claim, and how an appropriate remedy is determined.

1. Scope and document priority
This Limited Warranty Policy applies to products sold directly by SEMRISE to its business customer. It should be read with the accepted quotation, pro forma invoice, sales contract, approved specification, inspection criteria and product-specific warranty information.
If a transaction-specific written agreement provides a different warranty period, scope, remedy or claims procedure, that agreement controls for that transaction. Website pages, marketing materials and samples do not expand the written warranty.

The customer should retain shipping, delivery or warehouse-receipt records showing the receipt date. If that date cannot reasonably be verified, SEMRISE may use another documented date permitted by the applicable order terms.
Unless a written agreement or mandatory law states otherwise, a repaired or replacement item remains covered only for the unexpired portion of the original warranty period.
3. What is covered
The warranty covers a defect in materials or workmanship attributable to SEMRISE’s manufacturing process that existed when the product was supplied and becomes apparent during normal, intended use within the warranty period.
Coverage is determined after review of the product version, approved specification, order records, evidence, installation, use conditions and likely cause. A symptom or customer complaint does not by itself establish a manufacturing defect.
4. What is not covered
Installation and fitment
Incorrect product selection, inaccurate vehicle information, improper installation, adjustment or failure to follow current instructions.
Use and external events
Misuse, overloading, use outside the designed purpose, collision, impact, theft, fire, flood, severe weather or other external damage.
Modification and maintenance
Unauthorized repair or modification, incompatible third-party parts, neglected inspection, cleaning, adjustment or maintenance.
Normal change over time
Normal wear, consumable items, minor cosmetic variation, fading, scratches or ageing that does not result from a manufacturing defect.
- corrosion or deterioration caused by chemicals, road salt, pollutants or unsuitable cleaning products;
- water or dust ingress beyond the verified performance of the specific design—a tonneau cover should not be treated as completely waterproof unless expressly confirmed;
- damage caused by transportation, unloading, warehousing or storage after the risk has passed under the applicable delivery terms, unless investigation confirms a production or packaging cause;
- removed, altered or unreadable product, batch or traceability information where identification is reasonably necessary to investigate the claim; and
- costs or promises created by a distributor, reseller or other party without SEMRISE’s written authorization.
5. Shipping shortages and transit damage
Visible carton damage, shortages and transit damage should be recorded on the carrier or delivery documents and reported promptly under the applicable Incoterm, insurance and order requirements. Keep the packaging, labels and damaged goods until instructed otherwise.
Transit and packaging claims are reviewed separately from manufacturing-defect claims. Responsibility depends on the cause, risk-transfer point, carrier evidence, inspection records and transaction documents.
6. Information required for a claim
Notify SEMRISE promptly after discovering the issue and within the applicable warranty period. Provide enough information to identify the goods and evaluate the cause:
- customer name, order/PI number, SKU, product name and quantity affected;
- delivery date and available shipping or receipt evidence;
- vehicle market, make, model, year, configuration and bed size where fitment is relevant;
- clear overview and close-up photographs, labels, packaging and installation details;
- video showing the operating symptom where useful;
- a concise description of when and how the issue appeared, use conditions and affected rate; and
- any containment action already taken.
Do not discard, dismantle, return or destroy claimed products before SEMRISE confirms the next step. SEMRISE may reasonably request additional evidence, a sample, measurements or a remote inspection.
7. How a claim is reviewed

Review time depends on issue complexity and the completeness of the evidence. An acknowledgement or investigation does not itself mean that warranty coverage has been accepted.
8. Remedies for an approved claim
When a covered manufacturing defect is confirmed, SEMRISE will discuss and provide an appropriate remedy according to the defect, affected quantity, practicality and applicable order terms. The remedy may include:
- technical guidance or an approved corrective procedure;
- replacement components or parts;
- replacement of affected product;
- credit or another commercially reasonable solution agreed in writing.
Cost allocation must be confirmed. Freight, customs, duties, removal, diagnosis, installation, local labor, downtime and third-party charges are not automatically reimbursable and are handled under the applicable transaction agreement or written claim resolution.
SEMRISE may require return or controlled disposal of affected goods where reasonably necessary. No return should be shipped without written instructions.
9. Spare-parts support for full-container orders
For full-container tonneau cover orders, SEMRISE provides a spare-parts package calculated at 5% of the ordered product quantity. The applicable component mix is confirmed according to the product type and order requirements and may include latches, pull cords, drain tubes, seals, remote controls, motor parts or other agreed items.
The spare-parts package supports routine after-sales service. It does not extend the warranty period, prove that a reported issue is a manufacturing defect, or replace the claim review process. Availability and compatibility of additional parts depend on the product version and production status.
10. Distributors, private-label brands and end customers
This standard policy governs the relationship between SEMRISE and its direct business customer. A distributor, importer, retailer or private-label brand is responsible for the warranty and consumer-law commitments it makes to its own customers unless SEMRISE expressly accepts a different arrangement in writing.
Do not publish a longer period, broader coverage, unconditional replacement promise or market-specific consumer warranty in SEMRISE’s name without written approval. Local service procedures, stock of replacement parts, customer communication and legally required remedies should be planned before sale.
11. Mandatory legal rights
This is a commercial limited warranty for SEMRISE’s B2B transactions. It does not exclude or limit a right or liability that applicable law does not permit the parties to exclude. Where a product is ultimately sold to a consumer, mandatory rights may apply independently of this commercial warranty and are generally the responsibility of the consumer’s seller under local law.
Liability limitations, governing law and dispute provisions in the applicable sales contract or other written transaction document remain subject to mandatory law.
12. Policy changes
SEMRISE may update this policy prospectively by posting a revised version and changing the “Last updated” date. The warranty applicable to an accepted order is determined by the transaction documents and warranty version applicable to that order; a later website update does not retroactively reduce an agreed warranty.
