1. Acceptance and scope

These Terms of Service (“Terms”) govern your access to and use of semrise4wd.com and its content and enquiry features (the “Website”). The Website is operated under the SEMRISE brand (“SEMRISE”, “we”, “us” or “our”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

The Website is intended primarily for distributors, wholesalers, importers, automotive brands and other business users. If you access it as a consumer, nothing in these Terms limits a mandatory right that cannot lawfully be excluded.

2. Website information is not a binding offer

Product descriptions, photographs, videos, dimensions, materials, performance statements, availability, lead times and other Website content are general information and may be changed without notice. They are not a quotation, technical approval, warranty or binding offer to sell.

We aim to keep the Website useful and accurate, but content may contain omissions, translation differences or outdated information. Before relying on a material specification, request and confirm the current controlled document with our sales or engineering team.

3. Enquiries, quotations and orders

Warranty, inspection, claims, cancellation, tooling ownership, packaging, payment and delivery obligations must be agreed in the relevant transaction documents and are not created by this Website.

4. Vehicle fitment and product specifications

Fitment depends on accurate vehicle and application information. You are responsible for providing the correct market, make, model, model year, cab and bed configuration, bed length, existing accessories, intended use and any other requested details.

• A model name may refer to different platforms or dimensions across markets.
• Images may show optional equipment, prototypes, previous revisions or accessories sold separately.
• Installation must follow the current instructions and be performed by a competent person.
• Do not treat Website content as engineering, safety, regulatory or legal advice.

Final suitability, regulatory compliance and resale requirements for your market must be confirmed through the applicable product documents and transaction agreement.

5. OEM, ODM and custom projects

Custom designs, samples, tooling, technical drawings, target specifications, branding, approvals, testing, ownership and confidentiality must be governed by a separate written agreement. Website references to OEM or ODM capability are not a commitment to accept a project or achieve a particular result, certification, cost or schedule.

Do not submit trade secrets or highly confidential files through a general enquiry form. Contact us first to establish an appropriate channel and, where needed, a confidentiality agreement.

6. Acceptable use

You may use the Website for lawful evaluation and communication concerning SEMRISE products and capabilities. You must not:

• violate applicable law, sanctions, export controls or third-party rights;
• introduce malware, interfere with security, probe vulnerabilities or disrupt operation;
• impersonate another person or submit false, misleading or unauthorized information;

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence where such liability cannot be excluded, or any other liability that applicable law makes non-excludable. Liability relating to products, orders or services is governed by the applicable transaction agreement and mandatory law.

12. Trade and regulatory compliance

You must not use the Website or information obtained through it in violation of applicable export-control, sanctions, anti-bribery, customs or trade laws. Product availability may depend on destination, end user, end use and regulatory requirements. We may decline an enquiry or transaction where compliance cannot reasonably be confirmed.

13. Changes, severability and waiver

We may update these Terms by posting a revised version and changing the “Last updated” date. Changes apply prospectively from the stated effective date. If any provision is held invalid or unenforceable, it will be applied to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver.

14. Governing law and disputes

Unless mandatory law requires otherwise or a separate written agreement governs the matter, these Terms and non-contractual disputes arising from Website use are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules. The competent courts in Guangzhou, China will have jurisdiction, subject to any non-waivable right to bring a claim elsewhere.

Transaction-specific dispute provisions in an accepted quotation, PI, sales contract or other written agreement take priority for disputes arising from that transaction.
